Guyana Company and Corporate Law. Jamela A Ali is an Attorney at Law with over 27 years experience.There is a Companies Act Cap. 89:01 in The Laws of Guyana Revised Edition LRO 2012, which states the law as in force on December 31, 2010 (purple volume 16), formerly the Companies Act No. 29 of 1991, which governs the law of Companies in Guyana. This Act came into operation on the 25 May 1995.

Requirements to incorporate a company in Guyana:

1. Search of proposed name of company at Commercial Registry, Georgetown
2. Reservation of the proposed name of the company for 1 (one) year;
3. Notice of Address of Registered Office in Guyana;
4. Notice of Secretary stating the name, address and occupation;
5. Notice of Consent of Secretary;
6. Notice of Director(s) stating the name, address and occupation;
7. Notice of Consent of the Director(s)
8. Articles of Incorporation stating share capital, minimum issue price in respect of shares, the minimum and maximum numbers of Directors allowable, and any restrictions on the business that the company may carry on or the right to transfer shares;
9. A Declaration of Compliance signed by an Attorney at Law in Guyana confirming that the above parties are not less than 18 years, are not undischarged bankrupt and are not of unsound mind;
10. Copies of valid passport pages of the above parties with signature and photograph;

11. Bye-laws (optional).

12. Certificate of Incorporation - upon filing the above documents in prescribed form and payment of the prescribed registration fee to the Commercial Registry, the Registrar of Commerce issues a Certificate of Incorporation of the Company. Thereafter, the Registrar publishes the issuance of the said Certificate of Incorporation in the Official Gazette in accordance with section 479 of the Companies Act.

13. *Fees to incorporate/register a company

GY$60,000 official registration fee to Registry
GY$ 6,500-$10,000 - filing of notices and certification of documents
GY$ 700 - copies of documents from Registry
GY$5,000 - Search and name reservation of proposed company
GYy$50,000 - Towards Registering and obtaining Certificate of Incorporation
GY$10,000 - Statutory Bye laws.

Total approx. fee US$660.

14. External company
Companies registered out of Guyana may also apply to register as an external company in Guyana.
Registry Fees
GY$80,000 where the capital of the Company does not exceed GY$1,000,000
GY$150,000 where the capital of the Company exceeds GY$1,000,000 but does not exceed GY$3,000,000
GY$300,000 - In all other cases

*GY$20,600 = US$100 (approx)
